Thank you for choosing Gauditor, a comprehensive catalog auditing platform designed to help Amazon sellers, vendors, and agencies optimize their product catalogs and ensure compliance. These Terms and Conditions ("Terms") govern your use of our Service.

By accessing or using Gauditor, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service. These Terms constitute a binding agreement between you (or the entity you represent) and Gauditor.

1. Your Account

To use Gauditor, you'll need to create an account. When you register, please provide accurate, current, and complete information about yourself and your organization. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us if you believe your account has been compromised

We are not responsible for any unauthorized access to your account resulting from your failure to maintain the security of your credentials.

2. How You Can Use Gauditor

2.1 Permitted Uses

You may use Gauditor to manage and optimize your Amazon product catalogs, perform audits, track compliance, and manage multiple client accounts (if you're an agency). You must comply with all applicable Amazon policies and agreements when using our Service.

2.2 What You Cannot Do

To protect all users and maintain service integrity, you agree not to:

  • Use the Service for any fraudulent, illegal, or unauthorized purpose
  • Violate any agreement between you and Amazon
  • Share your account credentials with unauthorized parties
  • Access or retrieve information that is not necessary for the Service's functionality
  • Use customer data for marketing purposes or share it with competitors
  • Reverse engineer, decompile, or attempt to extract the source code of our Service
  • Interfere with or disrupt the Service or servers connected to the Service
  • Attempt to circumvent any security measures or rate limits

3. Data Protection and Security

We take data security seriously. We maintain industry-leading security measures to protect your data and the data of your clients. Our security practices include:

  • Encryption: All data is encrypted both in transit and at rest
  • Access Controls: Strict access management with multi-factor authentication (MFA) required
  • Network Security: Firewalls, intrusion detection, and regular security monitoring

Amazon Compliance Requirement

As an Amazon Solution Provider, we maintain compliance with Amazon's Data Protection Policy, including network protection, access management, credential management, encryption, risk management, incident response, data retention, logging, and vulnerability management. We notify Amazon within 24 hours of any security incidents affecting Amazon data.

4. How We Use Your Data

We use the data you provide and data accessed through Amazon Services API solely to provide and improve our Service. Specifically:

  • We only access data necessary to provide the catalog auditing and management features you've requested
  • We do not share your data with other users or third parties except as described in our Privacy Policy
  • We do not use customer Personally Identifiable Information (PII) except as required for order fulfillment or legal compliance
  • We do not aggregate data across different clients' businesses for competitive purposes

5. Fees and Payment

Subscription fees are clearly displayed in your account and on our pricing page. You agree to pay all fees associated with your subscription plan. All fees are exclusive of applicable taxes and duties.

We may suspend or withhold services if payment is not received, or if we reasonably determine that your actions may result in chargebacks, disputes, or violations of these Terms.

6. Intellectual Property

Gauditor, including all software, features, and documentation, is owned by Gauditor or its licensors and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use Gauditor for your business purposes as described in these Terms. You may not copy, modify, distribute, or create derivative works based on our Service without our express written consent.

7. Cancellation and Termination

You may cancel your subscription at any time through your account settings or by contacting us. Your subscription will remain active until the end of your current billing period.

We may suspend or terminate your account if:

  • You materially breach these Terms and fail to correct the issue within 7 days of notice
  • Your account is used for fraudulent, deceptive, or illegal activity
  • You violate Amazon policies or agreements
  • We are required to do so by law

Upon termination, you must immediately stop using the Service. We will securely delete your data in accordance with our data retention policies and applicable law.

8. Disclaimers and Limitations of Liability

Gauditor is provided "as-is" and "as-available" without warranties of any kind. While we strive to provide a reliable service, we cannot guarantee that the Service will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, business, or data arising from your use of the Service.

Our total liability will not exceed the total amounts you paid to us during the prior six-month period, or $1,000, whichever is greater.

9. Indemnification

You agree to defend, indemnify, and hold harmless Gauditor, its affiliates, and their employees, agents, officers, and directors from any third-party claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms or applicable laws
  • Your violation of Amazon policies or agreements
  • Your negligence or willful misconduct

10. Amazon Solution Provider Compliance

This section outlines our compliance with Amazon Solution Provider requirements. As an approved Amazon Solution Provider, Gauditor adheres to all applicable Amazon policies and agreements.

10.1 Amazon Policy Compliance

As a Solution Provider working with Amazon data, we and our users must comply with all applicable Amazon policies and agreements, including but not limited to:

  • Amazon Solution Provider Portal Agreement
  • Amazon Data Protection Policy
  • Amazon Acceptable Use Policy
  • Amazon Services API Developer Agreement
  • Amazon Marketplace Developer Agreement (if applicable)
  • All other Amazon policies and guidelines applicable to Solution Providers

10.2 User Responsibilities

Users acknowledge that:

  • Amazon may audit compliance with these policies at any time
  • Failure to comply with Amazon policies may result in suspension or termination of access to Amazon Services API and our Service
  • We may suspend or terminate access if we reasonably believe a user has violated any Amazon policy
  • Users are responsible for staying current with all Amazon policy updates and changes
  • Users must notify us immediately if Amazon suspends or terminates their access to Amazon Services API

10.3 Our Commitment

We are committed to maintaining our status as an approved Amazon Solution Provider and will take all necessary steps to ensure compliance with Amazon's requirements. We conduct regular security assessments, maintain comprehensive data protection measures, and immediately notify Amazon of any security incidents affecting Amazon data.

10.4 Data Usage Restrictions

In accordance with Amazon policies, users agree not to:

  • Request or accept Amazon Portal credentials or access keys from authorized users
  • Use Personally Identifiable Information (PII) for purposes other than merchant fulfilled shipping or legal requirements
  • Target Amazon customers for product marketing using data retrieved through the Service
  • Aggregate data across authorized users' businesses to provide or sell to competing parties
  • Disclose information to other users, affiliated entities, or outside parties unless required to perform acceptable authorized user activities

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Washington, United States. Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

Dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12. Changes to These Terms

We may update these Terms from time to time. We will provide at least 15 days' advance notice of material changes, except for changes made for legal, regulatory, fraud prevention, or security reasons, which may take effect immediately.

Your continued use of Gauditor after we post changes will constitute your acceptance of those changes. If any change is unacceptable to you, you may cancel your subscription in accordance with Section 7.

14. Additional Legal Terms

14.1 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

14.2 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Gauditor.

14.3 Assignment

You may not assign or transfer these Terms without our prior written consent. We may freely assign or transfer these Terms without restriction.

14.4 Force Majeure

We will not be liable for any failure or delay in performance under these Terms arising from forces beyond our reasonable control, including natural disasters, acts of war, terrorism, or failures of third-party services.

14.5 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gauditor regarding the Service and supersede all prior agreements, understandings, or communications relating to the subject matter of these Terms.
